The agreement

These terms apply between Exatyl and the business that subscribes to the platform. Using Exatyl means accepting them.

Setup fee and subscription

Exatyl is billed as a one-time setup fee plus a monthly subscription. The setup fee covers connecting your WhatsApp number to the platform and configuring your AI employee. The subscription covers continued use of the platform at the volume band in your plan.

Billing and payment

The setup fee is payable once, before configuration begins. The subscription is billed monthly. Continued use of the platform depends on the subscription being current.

Cancellation

You can cancel at the end of any month. There is no lock-in period and no cancellation penalty. After cancellation, lead records remain available for export for 30 days, and are then deleted.

WhatsApp conversation charges

Meta’s conversation charges are separate from anything Exatyl bills. Your business connects its own Meta account, and Meta bills those charges to that account directly. You pay Meta’s rate with nothing added on top. Those rates and rules are set by Meta and can change.

Acceptable use

• No spam.
• No bulk messaging without the recipient's consent.
• Following Meta and WhatsApp policies is the responsibility of the business that owns the WhatsApp number.
• No use of the platform for unlawful purposes.

Where use breaks these rules, or puts the underlying WhatsApp account at risk, access may be suspended.

Availability

Exatyl does not offer a guaranteed uptime commitment. The platform depends on providers outside our control, including Meta’s WhatsApp Business Platform and the model providers behind the AI employee, and any of them can be interrupted.

Limitation of liability

Exatyl is not liable for indirect or consequential loss, including lost business, lost revenue, or lost opportunity, arising from use of the platform or from interruptions to it. Nothing in these terms limits liability where the law does not allow it to be limited.

Exatyl’s total liability for any claim will not exceed the amount that business has paid Exatyl in the previous 12 months.

Data ownership

Your business data stays yours. Exatyl processes it on your behalf to run the platform, and does not own it. The privacy policy sets out what is stored, for how long, and who else is involved.

Governing law

These terms are governed by the laws of India. The courts of Bareilly, Uttar Pradesh have jurisdiction.
